ARTICLE 1: application and opposability
These general conditions of sale (hereinafter GTC) apply without reservation to all orders sent to the company Beyond the white® | L'Empreinte and this notwithstanding any mentions to the contrary that may appear in a document of any kind whatsoever emanating from the Customer except that these provisions have been expressly and previously accepted by Beyond the white® | L'Empreinte.
ARTICLE 2: Sales Training
Customers accept these T&Cs when they entrust Beyond the white® | L'Empreinte, directly or indirectly, of verbal, written, fax, e-mail or computer data exchange orders. Unless otherwise specified by Beyond the white® | L'Empreinte within 72 working hours of receipt of the order will be considered final and shipped within the time agreed with the Customer or indicated by Beyond the white® | L'Empreinte in the order confirmation.
If the order is for a personalized product, the order will only be final upon receipt by Beyond the white® | L'Empreinte of an Order Form signed by the Customer.
A final order can no longer be modified without the agreement of Beyond the white® | L'Empreinte and any modification may, where applicable, lead to a variation in price and/or delivery times. The customer must confirm his agreement to these variations within 72 working hours, failing which they are deemed accepted and the order will become final and dispatched according to the
new terms.
ARTICLE 3: delivery
The company Beyond the white® | L'empreinte undertakes to deliver the products within the time specified in the order confirmation.
Delivery times and method are defined by mutual agreement at the time of order confirmation.
The Buyer acknowledges that it is up to the carrier to make the delivery, whether he has been mandated by him or by the company Beyond the white® | L'Empreinte, the latter being deemed to have fulfilled its obligation to deliver upon delivery of the products to the carrier who accepted them without reservations.
The Buyer therefore has no warranty claim against the company Beyond the white® | L'Empreinte in the event of delay or non-delivery of the products ordered or damage occurring during transport or unloading.
Shipping times are given for information only and without guarantee. Consequently, delays, partial or split deliveries do not in any way authorize the Customer to cancel his order immediately, to refuse the goods or to draw any compensation. The times stipulated are indicative and any delay of less than 8 calendar days in relation to the time indicated shall not give rise to a right to a refusal of delivery and/or cancellation of the order.
The transfer of risk will be determined according to the delivery method chosen. If the transport is carried out by a company chosen or paid for by the Customer, the transfer will take place on the day of collection by the carrier in the warehouses of Beyond the white® | L'Empreinte.
Specificities in terms of packaging and packaging must have been communicated by the Customer and accepted by Beyond the white® | L'Empreinte on the day of the order.
ARTICLE 4: prices and terms of payment
The applicable prices are those in force on the day of the final order. Prices are in Euros excluding VAT (VAT not applicable – article 293 B of the CGI) and are displayed including VAT. The conditions for invoicing transport costs are agreed at the time of the final order.
Invoices are payable 30 days from the date of receipt of the invoice, unless different terms are indicated on the front of the invoice.
No discount for advance payment. Beyond the white® | L'Empreinte reserves the right to request for any new customer and/or for customers who have experienced payment incidents, an advance payment or a deposit before any shipment up to 30% of the order.
In accordance with the provisions of Article L441-6 of the Commercial Code, any delay in payment will result in the automatic application of late payment penalties of an amount equivalent to 3 times the legal interest rate in force, moreover the Customer in the event of late payment is automatically debtor, with regard to Beyond the white® | L'Empreinte, of a lump sum compensation for recovery costs, the amount of which is set under the provisions of article D441-5 of the Commercial Code (40 Euros to date).
ARTICLE 5: retention of title clause
Notwithstanding the provisions of article 1583 of the Civil Code and within the framework of the provisions of article L624-16 of the Commercial Code, Beyond the white® | L'Empreinte remains the owner of the delivered products until full payment of the invoice, which the Customer acknowledges and accepts.
Article 6: Product conformity
Any complaint concerning the conformity of the products delivered (in quantity, quality or type of products) with respect to the order must be made to Beyond the white® | L'Empreinte within 24 working hours of receipt of the order. Apparent defects on delivery must be reported immediately to the carriers.
Failing this, the products delivered will be deemed to be compliant.
As regards food products, the Customer is advised of the need to comply with the storage conditions and conservation applicable according to the nature of the products and no complaint can be accepted in the event of non-compliance with these conditions.
No return of products will be accepted without the prior agreement of the company Beyond the white® | L'Empreinte.
It is up to the Buyer to check the apparent condition of the products upon delivery and to make any reservations in the presence of the driver on the slip duly dated and signed, with confirmation to the carrier by registered letter within 3 ( three) days of receipt by the customer in accordance with Article L 133-3 of the Commercial Code and to send a copy together with the relevant delivery note to the company Beyond the white® | L'Empreinte within two (2) days of receipt of the goods, under penalty of foreclosure.
ARTICLE 7: applicable law and jurisdiction clause
Commands Beyond the white® | L'Empreinte are subject to French law and in the event of a dispute of any kind or dispute relating to the formation, interpretation or execution of all orders placed within the framework of these GTC only the Court of jurisdiction of Beyond the white® | L'Empreinte will be competent.
ARTICLE 8: Personal Data
As part of the execution of commands and their consequences, Beyond the white® | L'Empreinte and the Purchaser will be required to process the personal data of employees, collaborators, agents, servants or agents (in particular corporate officers) of the other in respect of the execution of the contract, for purposes relating to the execution orders and in particular if necessary to have a contact, for accounting and tax reasons or, where applicable, in the context of the pursuit of a legitimate interest, which may consist in the preservation of its rights in the event of a dispute .
Beyond the white® | L'Empreinte and the Buyer undertake, each as far as they are concerned, to respect the principles imposed by the regulations on data protection, in particular European Regulation n ° 2016/679 of April 27, 2016 said “General Data Protection Regulations” or “GDPR” and the amended law of January 6, 1978 known as the “Data Protection Act”.
It is up to each party to inform its own employees, collaborators, agents, agents or representatives of the existence and methods of this processing, in particular they inform them that:

each contracting party has the quality of data controller for these processing operations;

the data concerned relate to the identity of these persons and professional contact details;

the legal basis for this processing lies in the performance of the contract, when the purpose pursued is the management of the contract, it may also reside in the need to comply with a legal obligation or the legitimate interest of the other party to preserve its rights and defend its interests in the event of litigation;

the data is kept for a period corresponding to the purpose pursued;

data subjects have rights over their data, the list of rights and how to exercise them should be provided,
-
if applicable, the data processed is intended for third parties and for what reason.
